1. INTRODUCTION

Welcome to Gleam Network Club, a membership-based organization owned and operated by Gleam Communications, Inc. (“GCI”, “GNC”, “we”, “our” or “us”). This Terms and Conditions of Use & Sale (the “Terms”) govern your use of all websites operated by GCI, including but not limited to www.gleamnetworkclub.com (the “Website” or “Site”), as well as our services, mobile applications (“Apps”), memberships, events, and any related content, features, or offerings (collectively, the “Services”).

 

IMPORTANT – PLEASE READ CAREFULLY:

These terms constitute a legally binding agreement (The “Agreement”) between you (and/or your business entity, referred to as “you”) and GCI. By accessing or using our Services—including visiting our websites, creating an account, subscribing, clicking to accept, purchasing services, or participating in any events—you agree that:

1. You have read, understood, and agree to be bound by these Terms;
2. You are of legal age to form a binding contract with GCI;
3. The information you provide is true, accurate, and complete; and
4. You have the authority to enter into this Agreement personally or on behalf of a business entity, and to bind that entity to this Agreement.

If you do not agree to these Terms, you must not access or use any of the Services.

Your access to and use of the Services is expressly conditioned upon your acceptance of and compliance with these Terms and our Privacy Policy.

 

2. CHANGES TO THE TERMS

These Terms may be updated from time to time at GNC/GCI’s sole discretion. Changes will be made available on the Site and/or App, and we will update the “Last Updated” date at the top of this page. If you continue using the Services after updates take effect, you are agreeing to the revised Terms. If you do not agree with any changes, you should discontinue your membership and use of our Services and Websites. Please regularly check the site to view the then-current terms.

 

3. WEBSITE USE

The Website is intended for businesses operated by adults. If you use the Website, you are affirming that you are at least 18 years old or the legal age of majority in your state or province of residence (whichever is greater), operate a business, have the legal capacity to enter a binding contract with us, and have read this Agreement and understand and agree to its terms.

 

4. WEBSITE USER CONDUCT AND RESTRICTIONS-LICENSE TERMS

All aspects of our website are protected by U.S. and international copyright, trademark, and other intellectual property laws, including all content, information, design elements, text material, logos, taglines, metatags, hashtags, photographic images, testimonials, personal stories, icons, video and audio clips, and downloads. No material on the Website may be copied, reproduced, distributed, republished, uploaded, displayed, posted, or transmitted in any way whatsoever.

 

5. OUR PRIVACY POLICY AND YOUR PERSONAL INFORMATION

We respect your privacy and the use and protection of your non-public, personal information. Your submission of personal information through the Website is governed by our Privacy Statement. GCI reserves the right to modify its Privacy Statement in its reasonable discretion from time-to-time. Our Privacy Statement is incorporated into this Agreement by reference.

 

6. INFORMATION YOU PROVIDE; REGISTRATION; PASSWORDS; PROHIBITION AGAINST HOSTING THIRD-PARTY AGENCY ACCOUNTS

As a GCI user, you will be required to create an account with GCI. You warrant that the information you provide us is truthful and accurate, and that you are not impersonating another person. You are responsible for maintaining the confidentiality of any password you may use to access your GCI user account, and you agree not to transfer your password or user name, or lend or otherwise transfer your use of or access to your user account, to any third party. You agree to immediately notify GCI of any unauthorized use of your password or username or any other breach of security related to your user account. You agree that GCI is not liable, and you will hold GCI harmless, for any loss or damage arising from your failure to comply with any of the foregoing obligations.

 

7. ORDER PLACEMENT AND ACCEPTANCE

If you order a service, membership or product, payment must be received by us before your order is accepted. We may require additional information regarding your order if any required information was missing or inaccurate and may cancel or limit an order any time after it has been placed. Your electronic order confirmation, or any form of confirmation, does not signify our acceptance of your order. You must contact us immediately at support@gleamnetworkclub.com to modify or cancel your pending order. We cannot guarantee that we will be able to amend your order in accordance with your instructions.

All advertised prices are in, and all payments shall be in, U.S. Dollars.

 

8. MEMBERSHIP ELIGIBILITY & CONDITIONS

8.1. Approval and Revocation: Membership is subject to approval and may be revoked at the discretion of GNC for non-compliance with these Terms and Conditions.

8.2. Age Requirement: Members must be at least 18 years of age.

8.3. Membership Fees: Membership fees are due either every 6 months or annually and are subject to change with prior notice.

8.4. Non-Transferability of Benefits: Membership benefits are non-transferable.

 

9. CODE OF CONDUCT & USER RULES

9.1. Professional Conduct: Members are expected to conduct themselves professionally and respectfully during all events and interactions with other members.

9.2. Prohibition of Discrimination and Harassment: Any form of discrimination, harassment, or abuse is strictly prohibited and will result in immediate termination of membership.

9.3. Governance of Features and Services: All features and services provided by GNC, including user comments, instant messaging, and email functions, are governed by these Terms and any additional guidelines or rules established by GNC (collectively, the "Rules"). Members must also adhere to our Community Guidelines. Any breach of the Community Guidelines or Rules constitutes a violation of these Terms.

9.4. Enforcement of Rules: If GNC determines, in its sole discretion, that you have violated the Rules, we will have the right to immediately remove such Submission, in whole or in part, with or without notice to you, and to suspend temporarily your Account and access to the Services without prior notice. In the event that GNC determines that your first violation was particularly offensive, GNC reserves the right to immediately and permanently terminate your Account and access to the Services, with notification. Any user can report abuse by emailing legal@gleamnetworkclub.com.

 

10. OTHER RESTRICTIONS ON USER CONDUCT

You agree not to use the Services for any purpose prohibited by this Agreement or by applicable law. You agree to abide by our Community Guidelines and Privacy Policy, and you shall not (and shall not permit any third party to): (a) take any action or (b) make available any content on or through the Services that:

1. Infringes any patent, trademark, trade secret, copyright, right of publicity, or other right of any person or entity;
2. Is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, offensive, or profane;
3. Constitutes unauthorized or unsolicited advertising, junk or bulk e-mail;
4. Involves commercial activities and/or sales without GNC's prior written consent, such as contests, sweepstakes, barter, advertising, or pyramid schemes;
5. Impersonates any person or entity, including any employee or representative of GNC; or
6. Discloses any personal or confidential information about another person without their express written consent.

 

11. REGISTRATION

11.1. Account Information: When registering an account for the Services, Membership, or submitting an application for Membership, you agree to provide true, accurate, current, and complete information requested by the registration form. You also agree to promptly update your registration data as necessary to keep it current.

11.2. Account Responsibility: You are responsible for all activities that occur under your account. You agree to monitor your account to restrict its use by minors and other unauthorized users and agree not to share your account or password with anyone. Additionally, you agree to notify GNC immediately of any unauthorized use of your password or any other security breach of your account and to log out at the end of each session.

11.3. Account Restrictions: You agree not to create an account using a false identity or alias, or if you have previously been banned from using any of the Services. You further agree not to maintain more than one account at any given time.

11.4. Account Ownership: GNC reserves the right to remove or reclaim any usernames at any time and for any reason. You acknowledge and agree that you have no ownership or other property interest in your account and that all rights in and to your account are owned by and inure to the benefit of GNC.

11.5. Liability for Account Use: You are solely responsible for all access to and use of the services by anyone using your account, whether or not such access and use are authorized by you.

 

12. SERVICES

GNC offers a variety of Services, including, but not limited to, its Membership, mentorship, events, personal executive coaching for Members, and other services associated with Membership.

 

13. USE OF THE SERVICES

GNC, its suppliers, and its service providers own all rights, titles, and interests in the Services. Subject to the Agreement, GNC grants you a limited, non-transferable license to use the Services solely for your personal, non-commercial purposes. GNC, its suppliers, and its service providers reserve all rights not granted in this Agreement.

 

14. ACCESS TO GNC MEMBERSHIP BENEFITS

Upon successful registration for a GNC Membership and completion of your initial payment, you gain immediate access to an array of exclusive member benefits.

 

15. GENERAL BENEFITS

15.1. GNC offers a variety of services, including:

• Exclusive networking events
• Access to investor matchmaking programs
• Business mentorship and executive coaching
• Private mastermind sessions and roundtable discussions
• Online resources, workshops, and industry insights

15.2. Access to Events & Content

• Some events and content are tier-specific. Certain events may only be accessible to higher-tier memberships.
• Upgrades are available for members who want to unlock additional benefits.

 

16. MEMBERSHIP SUBSCRIPTIONS & PAYMENTS

16.1. Payment Schedules: Membership fees are due and payable either every 6 months or annually, depending on the membership duration you choose.

16.2. Auto-Renewal: Following the initial commitment period, your Membership will be automatically renewed for the same duration as your initial commitment unless you cancel or change your membership before the renewal date. It is your responsibility to keep your billing information accurate to ensure uninterrupted access to our Services.

16.3. Adjustments and Changes: We reserve the right to adjust our membership fees. In such cases, we will provide you with at least 30 days' notice before the new fee takes effect.

16.4. Late Payments and Non-payments: Late payments may incur additional charges. If payment is not received by the due date, your membership may be suspended or terminated for non-payment.

 

17. MEMBERSHIP CANCELATIONS AND REFUNDS

• You may cancel your membership at the end of the current billing period, and you will continue to have access until the end of your final billing period. Refunds are not available if requested after the billing date.

17.2. Non-Refundable Fees: Fees are non-refundable, except for the 14-day membership refund policy as expressly stated in these Terms. Including but not limited to: single event tickets, VIP upgrades, pitch deck reviews, one-time sessions, consulting services, or any other product or service offered by GNC or GCI. These offerings may carry different refund or cancellation terms, which will be clearly stated when the promotion is offered, if applicable.

17.3. Promotional Memberships: Promotional memberships are only available to new members and do not apply to past or returning members. Any specific terms related to promotional memberships will be clearly outlined at the time of the offer.

 

18. TERMINATION

18.1. Membership Termination: GNC reserves the right to terminate membership without notice if a member's conduct is deemed harmful to the character and ethos of GNC.

18.2. Service Modification or Discontinuance: GNC may, at its sole discretion, modify or discontinue the availability of the Site, with or without notice to you and without liability to you or any third party. Whenever possible, GNC will provide advance warning of any modification or discontinuance of the Site (or part thereof).

18.3. Access Suspension or Termination: GNC may suspend or terminate your access to the Services (in full or in part) if: (i) You have breached any provision of this Agreement or any other referenced agreement; (ii) GNC is required to do so by law (e.g., where the provision of the Services is, or becomes, unlawful); (iii) You use the Services for any unauthorized, fraudulent, abusive, or illegal activity.

18.4. Termination for Cause: All terminations for cause shall be made at GNC’s sole discretion, and GNC shall not be liable to you or any third party for any termination of the Services. In addition to suspending or terminating your access to the Services, GNC reserves the right to take appropriate legal action, including pursuing civil, criminal, or injunctive redress.

18.5. Post-Termination Obligations: Even after your right to use the Services is terminated, the Agreement will remain enforceable against you, and unpaid amounts you owe to GNC for any purchases will remain due.

18.6. Member-Initiated Cancelation: Members may cancel at the end of their billing cycle to prevent renewal. Access to GNC benefits will continue until the end of the paid period.

 

19. EVENT REGISTRATION & CANCELLATION

19.1. Event Registration: Members may be required to register separately for certain events.

19.2. Event Fees and Refunds: GNC event fees are refundable up to 60 days before the event date, unless otherwise specified for particular events.

19.3. No-Show Policy: If a member registers for an event but does not attend without prior notice:

1. The member may be subject to a no-show fee equivalent to the event fee.
2. Repeated no-shows may result in restrictions on future event registrations.
3. To avoid a no-show fee, members must cancel their registration at least 48 hours before the event start time, unless otherwise specified for particular events.

19.4. Event Modifications: GNC reserves the right to cancel, delay, or postpone any event, or replace scheduled speakers as necessary. In such cases:

1. GNC will make reasonable efforts to notify registered members of any changes as soon as possible.
2. If an event is canceled, those who paid for tickets will be offered a full refund of the event fee.
3. If an event is delayed or postponed, the registration will be automatically transferred to the new date, and refunds will not be provided unless the member cannot attend the rescheduled event and notifies GNC within 10 days of the announcement of the new date.
4. If speakers must be replaced, GNC will endeavor to find suitable replacements but no refunds will be provided due to changes in the speaker lineup.

19.5. Photos, Videos, and Recordings:
By attending GNC events, you acknowledge and agree that photos, videos, and recordings may be made of the events. These photos, videos, and recordings will be the property of GNC, and GNC reserves the right to use them in any manner and medium, including but not limited to websites, social media, advertisements, and articles.

 

20. EVENTS & ONE-TIME TICKETS

20.1. Community Focus: GNC is primarily a business community focused on relationship-building and creating new business opportunities among members.

20.2. Event Attendance: You do not need to be a current member to attend our public events. We offer Single-Event Tickets for one-time attendance at GNC public events. Each additional event will require a separate ticket purchase or becoming a GNC Member.

 

21. USER CONTENT

21.1. Privacy Policy: Member privacy is important to us. Please refer to our separate Privacy Policy document for details on how we collect, use, and protect your data.

21.2. Responsible Party for Content: You acknowledge that all content is the sole responsibility of the party from whom such content originated. This means that each User is entirely responsible for all content that they  make available through the Services (“User Content”). GNC has no obligation to pre-screen any User Content. You use all User Content and interact with other Users at your own risk. GNC reserves the right, in its sole discretion, to pre-screen, refuse, or remove any User Content. Any views and opinions expressed in User Content reflect the author's point of view and are not necessarily those of GNC or its affiliated entities.

21.3. Ownership of Your Content: GNC does not claim ownership of any User Content you make available on the Services (“Your Content”). However, when you post or publish Your Content on or in the Services, you agree that you have all the necessary rights to grant GNC the license set forth in Section 21.4. (License to Your Content). Except with respect to Your Content, you agree that you have no right or title in or to any content that appears on or in the Services. Further, you acknowledge that if Your Content includes personal information, it will be processed in accordance with our Privacy Policy, applicable laws, and your choices (including settings).

21.4. License to Your Content: Subject to any applicable Account settings, you grant GNC a right to copy, use, display, and create derivative works from Your Content for purposes of operating and providing the Services. Other Users may search for, see, use, modify, and reproduce any of Your Content that you submit to any “public” area of the Services.

21.5. Your Information:

1. GNC collects Personally Identifiable Information from you when you interact with our services and communicate with a member of our team, including but not limited to when you sign up for a subscription, grant access to documents, verify your identity, or send us an email. Personally Identifiable Information refers to information that allows us to identify you personally. This information may include, but is not limited to, information from your transactions with us, physical address, or other information you provide via email.
2. Our collection of Personal Data is necessary to our legitimate interests, which serves as our lawful basis for processing your Personal Data. These legitimate interests include running our business, keeping our records updated, ensuring legal and regulatory compliance, fulfilling our obligations to you, the client, developing our services, and informing our marketing strategy.
3. You acknowledge that all information you provide to GNC is provided voluntarily. For more information on how GNC collects, uses, and discloses personal information, please review our Privacy Policy. If you do not agree with any of the provisions of these Terms, please do not use this Site or our Services under any circumstances.
4. GNC does not “sell” (as defined in the CCPA) the personal information of anyone in our network.

 

22. INTELLECTUAL PROPERTY

All content provided by GNC, including but not limited to logos, texts, graphics, and presentations, is the property of GNC and is protected by copyright and intellectual property laws.

Unauthorized use of any GNC materials without prior written permission is strictly prohibited.

 

23. INTERNATIONAL LAW MEMBERS

Services can be accessed from countries around the world and may contain references to Services and content that are not available in your country. These references do not imply that GNC intends to announce or promote the availability of such Services or content in your country. Services are controlled and offered by GNC from its facilities. GNC makes no representations that Services are appropriate or available for use in other locations. Those who access or use Services from other countries do so at their own volition and are responsible for compliance with local law.

 

24. DISCLAIMER OF WARRANTIES & CONDITIONS

24.1. General Disclaimer: You expressly understand and agree that your use of the Services, or attendance at any GNC organized event, is at your sole risk. The Services, and any GNC events are provided on an “as is” and “as available” basis, with all faults. To the fullest extent permitted under applicable law, GNC parties expressly disclaim all warranties, representations, and conditions of any kind, whether express or implied, including, but not limited to, the implied warranties or conditions of merchantability, fitness for a particular purpose, and non-infringement arising from the use of the Services.

24.2. No Warranty: GNC parties make no warranty, representation, or condition that:

(1) The services will meet your expectations or requirements;

(2) The information, content, and data on the Services is accurate, complete, or current;

(3) Your use of the Services will be uninterrupted, timely, secure, or error-free;

(4) Any errors on the Services will be corrected;

(5) Your use of the services will not expose your hardware or networks to additional security risk;

(6) The services will be compatible with your devices.

24.3. No Guarantee of Results: We do not guarantee results and make no promise that your business will be profitable and that you will make money using the Gleam Network Club or any other of GCI’s products and services. If you use the Websites or become a member of GNC, you do so at your own risk and are solely responsible for any decisions and actions that result from your decision to use the Website or our services. You agree to take full responsibility for any results you may or may not receive from use of the Website or our services.

24.4. Content Access: Any content downloaded from or otherwise accessed through the Services is accessed at your own risk. You are solely responsible for any damage to your property or others, including, but not limited to, your computer system and any device you use to access the Services, or any other loss that results from accessing such content.

24.5. Service Disruptions: The Services may be subject to delays, cancellations, and other disruptions. GNC makes no warranty, representation, or condition with respect to the Services, including but not limited to, the quality, effectiveness, reputation, and other characteristics of the Services.

Certain jurisdictions' laws do not allow limitations on implied warranties. If these laws apply to you, some or all of the foregoing disclaimers may not apply to you, and you might have additional rights.

 

25. LIMITATION OF LIABILITY

25.1. Disclaimer of Certain Damages: The GNC is not liable for any personal injury or loss of property that may occur at GNC events or venues. GNC does not guarantee business outcomes resulting from participation in GNC events or any networking opportunities. To the fullest extent permitted by applicable law, GNC parties shall not be liable for any loss of profits or revenue, indirect, incidental, special, or consequential damages, or damages or costs due to loss of data, production, or use, business interruption, or procurement of substitute goods or services, whether or not GNC has been advised of the possibility of such damages. This includes losses that were not foreseeable to you or GNC when the agreement was formed and losses that were not caused by any breach by GNC. We do not limit or exclude the GNC parties' liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents, or subcontractors, and for fraud or fraudulent misrepresentation.

25.2. Limitation of Liability: GNC will not be liable for any loss of profit or any other commercial damages, including but not limited to direct, indirect, special, incidental, or consequential damages, arising out of or in connection with the use of our Site or Services. This includes, without limitation, claims arising from malfunctions or defects in the site or related software, inability to access or use the site, failures of performance, errors, omissions, interruptions, defects, delays in operation or transmission, computer viruses, or telecommunications or system malfunctions.

25.3. No Liability for Conduct of Third Parties: You acknowledge and agree that GNC parties are not liable, and you agree not to seek to hold GNC liable, for the conduct of third parties, including operators of external sites. The risk of injury from such third parties rests entirely with you.

25.4 Cap on Liability: Under no circumstances will the total aggregate amount that the GNC parties are liable to you exceed $100 (One Hundred US Dollars). The laws of some jurisdictions do not allow this limitation. If these laws apply to you, some or all of the limitations set forth in this section may not apply to you, and you might have other rights.

 

26. DISPUTE RESOLUTION

26.1. Governing Law: The use of our site and GNC services, including all rights and obligations arising under these Terms and Conditions, is governed by the laws of the State of New York, United States of America, regardless of any conflict of law provisions. If you use our site and/or services from other locations, you are responsible for compliance with all applicable state, local, federal, or international laws.

26.2. Exclusive Jurisdiction: Subject to the arbitration provisions below, any dispute arising under or relating to this site or any GCI site, GNC services, or these Terms and Conditions, including concerning their interpretation or breach, will be resolved exclusively in the state and federal courts of New York City, New York, United States of America, and nowhere else. All parts hereby irrevocably consent to personal jurisdiction in such courts.

 

27. BINDING ARBITRATION

Any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, your use of the GCI website or services, or any agreement with GCI (a “Dispute”), shall be resolved through final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules or Streamlined Arbitration Rules, as appropriate, and governed by the Federal Arbitration Act (FAA).

The arbitration may be conducted in person, by phone, online, or through document submission. If in-person, arbitration will take place in the U.S. county where you reside.

Exceptions: Either party may (i) bring an individual claim in small claims court in the jurisdiction of their residence if eligible; or (ii) seek provisional, equitable, or injunctive relief from a court of competent jurisdiction.

Arbitration decisions shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

 

28. CLASS ACTION WAIVER

You agree that any arbitration or proceeding shall be limited to the Dispute between us and you individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any Dispute to be arbitrated or resolved on a class action-basis or to utilize class action procedures; and (iii) You may not bring a Dispute as a representative of others or as a private attorney general.

YOU AGREE THAT YOU MAY ONLY BRING CLAIMS AGAINST GCI IN YOUR INDIVIDUAL CAPACITY.

 

29. EQUITABLE RELIEF

You acknowledge and agree that aNY breach or threatened violation of our intellectual property rights and confidential and proprietary information by you, may cause irreparable harm to GCI. Accordingly, GCI may seek injunctive or equitable relief from a court of competent jurisdiction to prevent or stop such a breach, without waiving its right to arbitration. You irrevocably consent to the jurisdiction of the state and federal courts located in New York County, New York for purposes of any such action.

 

30. SEVERABILITY

If any provision of these Terms and Conditions is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity and enforceability of any remaining provisions. The remaining provisions will continue in full force and effect.

By subscribing to our GNC Membership, you acknowledge and accept these Terms and Conditions, and agree to comply with all applicable policies and guidelines. We reserve the right to modify these Terms at any time, with the updated version superseding all previous versions.
